I have old 5/16 panel siding similar to the HD link. 45 year old house has worn, rotten siding that needs to be replaced. The house has let in bracing, the old crappy siding is installed right to the studs. The new stuff says it must be installed over sheathing for warranty. I think replacing the old with the new would be a significant improvement, and install it the same way, right to the studs with no sheathing. I think it will be fine, but i have to tell the homeowner it wont have any warranty.
